World AIDS Day Rules and Procedures
(RED), a division of The ONE Campaign (‘(RED)”) invites you to join the fight against AIDS starting on World AIDS Day – December 1 2015 – on Twitter, Instagram , Facebook and YouTube to trigger donations to the Global Fund to Fight AIDS, Tuberculosis and Malaria ( the “Global Fund”) ( the “Campaign”) by giving you the opportunity to share, view, like and comment on the (RED) SHOPATHON Jingle video and/or the Fifteen Million video ( individually a “Video” and collectively the “Videos” ) and a (RED) gif ( the “Gif”) supporting the Campaign ( each, a “Submission”). These Rules and Procedures are subject to change at any time at the sole discretion of (RED). Void where prohibited.
Eligibility: The Campaign is open to all individuals who are thirteen (13) years of age or older with a valid Twitter, Facebook, YouTube and/or Instagram account.
Campaign Period and Restrictions: The Campaign will begin at 10amEST on November 30th, 2015 local time and end when the CAP (as defined below) is reached (“Campaign Period”). The Campaign will be conducted pursuant to these Rules and Procedures and any such other rules and procedures as (RED) may from time to time designate.
How to Participate via Twitter: During the Campaign Period, go to www.twitter.com (the “Twitter Website”) and (1) if you already have a Twitter account, log on using your Twitter user name and password or (2) if you do not already have a Twitter account, create a free Twitter account according to the instructions on the Twitter Website. Then go to (RED)’s Twitter – www.twitter.com/RED and retweet, like, view or reply to the (RED) tweet about one or bothof the Videos, or the Gif ( each a “Twitter Submission”) that will trigger the donation. Each Twitter Submission, view and retweet of the Twitter Submission will trigger a three dollar (US $3) donation from the Bill & Melinda Gates Foundation.
How to Participate via Instagram: During the Campaign Period, go to the Instagram App and (1) if you already have a Instagram account, log on using your Instagram user name and password or (2) if you do not already have an Instagram account, download the app and create a free Instagram account according to the instructions on Instagram. Then go to (RED)’s Instagram – @red – and regram, comment or like the (RED) gram about one or both of the Videos or the Gif (each, an “Instagram Submission”) that will trigger the donation. Each Instagram Submission, regram, comment and like of the Instagram Submission will trigger a three dollar ( US $3) donation from the Bill & Melinda Gates Foundation.
How to Participate via Facebook: During the Campaign Period, go to www.facebook.com (the “Facebook Website”) and (1) if you already have a Facebook account, log on using your Facebook user name and password or (2) if you do not already have a Facebook account, create a free Facebook account according to the instructions on the Facebook Website. Then go to (RED)’s Facebook – www.facebook.com/joinRED – to share, like, view or comment to the (RED) post about one or both of the Videos or the Gif ( each, a“Facebook Submission”) that will trigger the donation. Each Facebook Submission, share, like ,comment and view of the Facebook Submission will trigger a three dollar (US $3) donation from the Bill & Melinda Gates Foundation.
How to Participate via YouTube: During the Campaign Period, go to (RED)’s YouTube page – www.youtube.com/joinRED – to share, like, view or comment to the (RED) video about one or both of the Videos (“YouTube Submission”) that will trigger the donation. Each YouTube Submission, view, like and comment on the YouTube Submission will trigger a three dollar ( US $3) donation from the Bill & Melinda Gates Foundation.
Donations will be accepted until One Million United States Dollars ( US $1,000,000) (the “CAP”) have been collected. The Bill & Melinda Gates Foundation and (RED) reserve the right to increase the CAP amount during the Campaign Period.
Your Submission should be original and not infringe on any third party rights, including, without limitation, copyright, trademark, or patent, or create claims for idea misappropriation or breach of contract. You must have permission of any person who appears in your Submission or who you identify or otherwise refer to in your Submission.
By submitting your Submission, you agree that your Submission may be broadcast on-air, on (RED)’s website located at www.Red.org (“Website”) and in advertising for the Campaign on-air and off-air (together, the “Materials”), and you grant (RED) its licensees, successors and assigns the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit your Submission and to incorporate your Submission in the Materials and any other works in any and all markets and media now known or hereafter devised, throughout the world in perpetuity, without additional notification, permission, approval, or compensation.
You warrant that you have the sole and exclusive right to grant such rights to (RED) its licensees, successors and assigns and that the reproduction, publishing, displaying, and/or other use of your Submission by (RED) its licensees, successors and assigns will not infringe on any rights of third parties, including, without limitation, copyright, trademark, patent, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract.
General Conditions: By submitting your Submission, you consent to the recording, use, and reuse by (RED) and its licensees, successors, and assigns of your Twitter , Facebook, YouTube, and/or Instagram user name, your voice, actions, likeness, name, appearance, biographical material, and any other identifying information, including without limitation, any information contained in your Submission and/or Twitter, Facebook, YouTube or Instagram profile , as used, edited, altered, fictionalized, or modified by (RED) in its sole discretion, in any and all markets and media, now known or hereafter devised, throughout the world in perpetuity, including, without limitation, in and in connection with (RED), the Website, or related sites or services, in and in connection with any television programs and other productions, and in and in connection with advertising, promotion, and publicity.
You acknowledge and agree that (RED) its licensees, successors, and assigns will be entitled to retain any and all revenue generated from any sales, licenses, assignments, and other transfers of the rights granted by you hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials, or distribution rights in connection with your Submission or the Materials. Nothing in these Rules and Procedures obligates or may be deemed to obligate (RED)or any other person or entity to exercise any of the rights granted by you under these Rules and Procedures. (RED)and its successors, licensees, and assigns, will have the unlimited right to assign these Rules and Procedures and the rights granted by you under these Rules and Procedures at any time, in whole or in part, to any party. Your Submission may not be identifiable. (RED)will have the right to make any changes to your Submission as it determines in its sole discretion. Your Submission should not contain material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive. Your Submission must be your own original work. You agree that (RED)and its licensees, successors, and assigns shall have no obligation to give you credit for your Submission but in their sole discretion may elect to do so. You understand that there will be no payment for your submission or the use of your Submission. You understand that no industry custom or practice applies to your agreement that you will not be paid for your Submission. You understand that if your Submission is selected for use, such use will not be considered an employment opportunity. If you do not want your Submission to be used and broadcast by (RED), then please do not participate.
(RED) has the right, in its sole discretion, to void any Submissions that appear to have been made by a person not meeting the eligibility requirements set forth above, or to be an automated or duplicate Submissions, and has the right to permanently disqualify from any Submission any person it believes has violated these rules. If for any reason the Campaign is not capable of being run or implemented as planned, including, but not limited to, as the result of infection by computer viruses or bugs, tampering, unauthorized intervention, fraud, or any other cause beyond the control of (RED), which is likely to, or actually corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Campaign, then (RED) reserves the right, in its sole discretion, to withdraw the transmission of any Submission and/or to terminate or suspend the Campaign at any point and declare the results based upon the Submission up to that point. In the event of technical difficulties with the Submission including, but not limited to, mobile or Internet service interruptions, (RED) reserves the right to review the Submissions for accuracy and to take any appropriate action, including, without limitation, voiding the Submissions cast during the time period in which such technical difficulties occurred. (RED), the Bill & Melinda Gates Foundation, Twitter, Instagram, Facebook and YouTube , their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, any other entity involved in the development or administration of the Campaign, and each of their respective directors, officers, employees and assigns (collectively the “Released Parties”) are not responsible for any computer, network, technical, electronic, human or other errors or problems of any kind, for any injury or damage to participants or to any person’s computer or mobile phone relating to or resulting from your Submission or downloading materials or software in connection with the Campaign, or for Submission that are stolen, misdirected, garbled, delayed, lost, or late. By participating, each individual agrees to release and hold the Released Parties harmless against any and all claims and liability of any kind arising in whole or in part, directly or indirectly, out of their participation in the Campaign. All Submissions will become property of (RED) and will not be acknowledged or returned.
You understand that the Campaign is in no way sponsored, endorsed or administered by, or associated with Twitter, Instagram, Facebook or YouTube.
Caution: Any attempt by you or any other individual to deliberately damage any online service, mobile phone service, or website, tamper with the Campaign process, is a violation of criminal and civil laws and should such an attempt be made, Released Parties reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law.
Disputes: THESE RULES, AND SUBMISSION TERMS, ARE GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL LIE EXCLUSIVELY IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF
